Terms & Conditions

The agreement between you and Hubber covering how resellers, suppliers and customers use the platform, how orders and payments work, and how disputes are resolved.

The short version

  • Hubber connects you to verified suppliers at wholesale prices. You never buy or hold stock — an order is only placed once your customer commits.
  • The supplier owns and sells the product; Hubber coordinates the order, payment and delivery through third-party logistics partners.
  • Wholesale prices move with the market. The price that counts is the one showing when the order is confirmed.
  • You set your own selling price and keep the margin, paid out after delivery and reconciliation.
  • Failed or rejected deliveries have real costs, and those may be charged to your wallet.

1. Overview and Acceptance

By downloading, installing, accessing or using the Hubber mobile application, hubber.com.ng and any related sub-domains, sites, dashboards, services and tools (together, the “Platform”), you agree to these Terms and Conditions (“Terms”), together with our Privacy Policy and our Return & Refund Policy, each of which is incorporated into these Terms by reference.

These Terms form a binding agreement between you and Hubber Technologies Limited, a private company limited by shares incorporated under the Companies and Allied Matters Act, 2020 and registered with the Corporate Affairs Commission under registration number RC [insert RC number], with its registered office at [insert registered office address], Lagos, Nigeria (“Hubber”, “we”, “us” or “our”).

Please read these Terms carefully before using the Platform. If you do not agree with them, you must not install, access or use the Platform.

If you are using the Platform on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms. If you do not have that authority, you accept these Terms in your personal capacity and are personally responsible for your use of the Platform.

We may amend these Terms at any time by posting the revised version on the Platform or releasing it as part of an update. Where a change materially affects your rights or obligations, we will take reasonable steps to notify you in advance through the Platform, by email or by SMS. Your continued use of the Platform after the effective date of a revised version means you accept it. If you do not accept a change, you must stop using the Platform.

2. Definitions

  • Reseller — a user who lists, markets and sells Products sourced through the Platform to their own Customers, without holding inventory.
  • Supplier — a business or individual approved by Hubber to list Products on the Platform at wholesale prices.
  • Customer — the end buyer who purchases a Product from a Reseller.
  • Product — any item listed on the Platform by a Supplier.
  • Wholesale Price — the price at which a Supplier makes a Product available to Resellers through the Platform.
  • Selling Price — the price at which a Reseller offers a Product to their Customer.
  • Margin — the difference between the Selling Price and the total of the Wholesale Price, delivery charges and any applicable fees or taxes.
  • Logistics Partner — an independent third-party courier or delivery company engaged to deliver Orders.
  • Wallet — the record maintained on the Platform of amounts payable to or by a Reseller or Supplier.
  • Order — a request submitted through the Platform for a Product to be supplied and delivered to a Customer.

3. How Hubber Works and Our Role

Hubber is a technology platform. We connect Resellers with verified Suppliers offering Products at wholesale prices, and we coordinate delivery of Orders through independent Logistics Partners.

Under the Hubber model:

  • The Reseller does not purchase or hold inventory. The Reseller markets a Product, and an Order is placed on the Platform only after their Customer commits to buy.
  • The Supplier owns the Product and remains the seller of record until title passes on delivery. Title to a Product never passes to Hubber.
  • Hubber facilitates the transaction, coordinates delivery and administers payment and remittance. Where Hubber acts as a facilitator, the contract of sale is a bipartite contract between the Supplier and the Customer, arranged by the Reseller.

Hubber is not a courier, a bank, a deposit-taking institution or an insurer. Where Hubber lists a Product as a first-party seller, this will be identified on the listing, and Hubber will be the seller for that Order.

4. Eligibility and Verification

To register, you must be at least 18 years old and capable of entering into a binding contract under Nigerian law.

We are required to verify the identity of users. Depending on your role and transaction volume, you may be asked to provide:

  • Full name and date of birth.
  • A Nigerian mobile number.
  • National Identification Number (NIN) or another accepted government-issued identification.
  • Bank Verification Number (BVN) and settlement bank account details.
  • A residential or business address.
  • For Suppliers and registered businesses, CAC registration details and a Tax Identification Number (TIN).

You confirm that all information you give us is true, accurate, current and complete, and you agree to keep it up to date. We may verify your information against third-party and official databases, and may suspend or restrict your account where information cannot be verified, appears false, or where verification is required by law.

We may refuse registration, decline to approve a Supplier, or limit account functionality at our discretion, including where required under the Money Laundering (Prevention and Prohibition) Act, 2022 or the directives of any competent regulator.

5. Your Account

You are responsible for keeping your login details, one-time passwords (OTPs) and account credentials confidential. Do not share your OTP with anyone, including anyone claiming to be Hubber staff. Hubber will never ask you for your password, OTP, card PIN or full card details.

You are responsible for all activity carried out under your account, whether or not authorised by you, unless you notified us of a compromise before the activity took place. Notify us immediately at hubber@hubber.com.ng if you believe your account has been accessed without your permission.

You may not sell, transfer or lend your account, ratings or verification status to another person without our written consent.

6. Acceptable Use

In connection with the Platform, you must not:

  • List, upload or share content in the wrong category, or content that is false, misleading, deceptive or defamatory.
  • Misrepresent a Product's origin, quality, condition, specification or price.
  • List or trade in Products that are illegal, counterfeit, stolen, unsafe, expired or restricted under Nigerian law, including prohibited pharmaceuticals, weapons, wildlife products or NAFDAC-regulated items without valid registration.
  • Breach or attempt to circumvent any law, regulation, third-party right, or our systems, policies or account decisions.
  • Manipulate prices, interfere with another user's listings, or undermine the ratings and feedback systems.
  • Place Orders you do not intend to fulfil, or generate artificial Orders, reviews or referrals.
  • Fail to pay amounts you owe under these Terms.
  • Distribute spam, chain messages, malware or any technology that may harm the Platform or its users.
  • Use any robot, spider, scraper or automated means to access, harvest data from or interfere with the Platform without our prior written permission.
  • Impose an unreasonable or disproportionate load on our infrastructure.
  • Infringe intellectual property rights belonging to Hubber or any third party, including by reproducing, reverse engineering, decompiling or creating derivative works from the Platform.
  • Collect information about other users without their consent.
  • Use the Platform for fraud, money laundering, terrorism financing, gambling, or in connection with any criminal offence.
  • Upload content that is obscene, pornographic, paedophilic, hateful, harassing, blasphemous, threatening, ethnically objectionable, harmful to minors, or that impersonates another person.
  • Circumvent Hubber to transact directly with a Supplier introduced to you through the Platform in order to avoid fees properly due to us.

We may investigate suspected breaches and may remove content, cancel Orders, withhold payouts, or suspend or terminate accounts.

7. Listings, Wholesale Pricing and Price Changes

All prices on the Platform are stated in Nigerian Naira (₦).

Suppliers are responsible for the accuracy of their listings, including descriptions, images, specifications, stock availability and Wholesale Price, and for setting prices in accordance with applicable law.

You acknowledge that wholesale prices in the Nigerian market are affected by exchange rate movements, fuel and transport costs, import duties and supply conditions, and may change frequently. Accordingly:

  • A Wholesale Price displayed on the Platform is an invitation to treat. It is valid only for as long as it is displayed, and in any case only until the Order is confirmed.
  • The price applied to an Order is the price displayed when the Order is confirmed, not the price displayed when you first viewed or saved the Product.
  • Adding a Product to a list, storefront or catalogue does not reserve its price or its stock.
  • Where a price changes between the time a Reseller advertises a Product and the time the Order is confirmed, the Reseller is responsible for the difference against their own Customer, and may cancel the Order before confirmation without charge.

We work to keep pricing and availability information accurate, but errors can occur. Where a Product is materially mispriced or is unavailable, Hubber or the Supplier may cancel the affected Order and, where payment has been taken, refund it in accordance with our Return & Refund Policy. We do not offer price matching.

8. Reseller Selling Prices and Margin

Resellers set their own Selling Price and are free to price above the Wholesale Price. You are responsible for the accuracy of any price, description, delivery timeline, warranty or other representation you give to your Customer, and for ensuring it is consistent with the Supplier's listing.

Hubber does not guarantee any level of sales, income, Margin or profit. Any figures shown on the Platform, in marketing material or in training content are illustrative only and are not a promise of earnings.

Your Margin becomes payable once the Order has been delivered, the applicable return window has closed without a valid claim, and the funds for the Order have been received and reconciled. Margin is credited to your Wallet and may be withdrawn in accordance with section 10.

9. Orders and Formation of Contract

An Order placed through the Platform is an offer to buy the Product on the terms displayed.

Confirmations, status updates or messages you receive before dispatch serve to acknowledge the Order details; they do not by themselves constitute acceptance. The contract is formed when the Order is dispatched, or when we notify you that it has been accepted, whichever is earlier. Orders dispatched in more than one consignment may generate separate confirmations.

Any timeline shown at the point of Order is an estimate. It is not a guaranteed dispatch or delivery time and depends on Suppliers and Logistics Partners. We will make reasonable efforts to meet indicated timelines and to notify you of material delays.

Hubber or the Supplier may decline or cancel an Order before dispatch, including where a Product is out of stock, where pricing is incorrect, where verification or additional information is required, where quantities are inconsistent with normal reselling activity, or where we suspect fraud or misuse of a payment instrument. Where an Order is cancelled after payment, the amount paid will be refunded in accordance with our Return & Refund Policy.

10. Payments, Wallet and Remittance

Payments on the Platform are processed by payment service providers licensed by the Central Bank of Nigeria. Accepted payment methods may include bank transfer, card, USSD and, where offered, payment on delivery. Your use of a payment provider's service may also be subject to that provider's own terms.

Your Wallet is a record of amounts owed to or by you on the Platform. It is not a bank account or a deposit. Wallet balances do not earn interest, and Hubber is not a bank, a deposit-taking institution or a licensed financial institution.

Withdrawals are paid to the verified Nigerian bank account registered on your account and held in your own name. Withdrawal requests may be subject to minimum amounts, processing windows and verification checks. Settlement timing depends on your bank and the inter-bank settlement system and may be affected by matters outside our control.

We may set off against your Wallet any amount you owe us or a Supplier, including refunds, chargebacks, failed-delivery costs, return delivery costs and fees. Where your Wallet balance is insufficient, the outstanding amount remains payable by you on demand.

We may place a hold on a Wallet balance or a withdrawal where an Order is disputed, where a return or refund claim is under review, where we suspect fraud or a breach of these Terms, or where we are required to do so by law or by a regulator.

11. Delivery and Third-Party Logistics

Delivery is carried out by independent Logistics Partners. Hubber coordinates and books delivery but is not the carrier and does not employ or control a Logistics Partner's personnel.

Delivery fees are shown before an Order is confirmed and may vary by destination, weight, dimensions and service level. Delivery timelines vary across Nigeria, and delivery may not be available to all locations.

You are responsible for providing a complete and accurate delivery address, a reachable phone number and any access instructions. Delivery may be delayed or fail where these details are wrong or incomplete.

Risk in a Product passes on delivery to the Customer, or to a person at the delivery address who appears authorised to accept it.

We will support you in pursuing a claim against a Logistics Partner for loss or damage in transit, but our own liability for the acts or omissions of a Logistics Partner is limited as set out in section 17.

12. Payment on Delivery and Failed Deliveries

Where payment on delivery is available, the Customer pays the Logistics Partner on delivery, and the amount collected is remitted to Hubber for reconciliation before Wallet balances are updated. Remittance and reconciliation may take several business days.

A delivery may fail where the Customer cannot be reached, refuses the Order, is unavailable after the agreed number of delivery attempts, or cannot pay on delivery. Where a delivery fails and the Product is returned to origin:

  • The Product is returned to the Supplier.
  • Forward and return delivery costs actually incurred may be charged to the Reseller and deducted from the Reseller's Wallet.
  • No Margin is payable on the Order.

We may restrict access to payment on delivery, require prepayment of delivery costs, or apply order limits where an account shows a persistently high rate of failed or rejected deliveries.

13. Returns, Refunds and Replacements

Returns, refunds and replacements are governed by our Return & Refund Policy, which forms part of these Terms.

Nothing in these Terms or in that policy limits any right you have that cannot lawfully be excluded, including rights under the Federal Competition and Consumer Protection Act, 2018.

14. Supplier Obligations

Suppliers must:

  • Hold all licences, permits and regulatory approvals required for the Products they list, including NAFDAC registration and SON conformity where applicable.
  • List only Products they can lawfully sell and actually supply.
  • Keep stock and pricing information accurate.
  • Package Orders adequately for transit.
  • Dispatch within the agreed handling time.
  • Honour returns, replacements and refunds determined under our Return & Refund Policy.

Suppliers warrant that Products are genuine, are not counterfeit or stolen, comply with applicable Nigerian standards, and match their listing.

Where a Supplier breaches these obligations, we may withhold or reverse payment, remove listings, require a replacement or refund, charge back the cost of failed deliveries, suspend or delist the Supplier, and report the matter to the relevant authority.

15. Taxes

You are responsible for all taxes arising from your activity on the Platform, including Value Added Tax at the prevailing statutory rate, income tax and any withholding obligations, and for filing and remitting them to the relevant federal or State revenue authority.

Where we are required by law to withhold, collect or account for tax on a payment to you, we will do so and will provide the applicable documentation. Prices displayed on the Platform may be shown inclusive or exclusive of VAT, and this will be indicated on the listing or at checkout.

Hubber does not provide tax advice. You should take your own advice on your tax position.

16. Anti-Money Laundering, Fraud and Sanctions

We monitor activity on the Platform to detect and prevent fraud, money laundering, terrorism financing and breaches of these Terms. This includes automated screening of transactions and of messages sent through the Platform, which may occur before, during or after a message is sent and may result in a message being delayed or withheld.

We may request additional information or documents, delay or decline a transaction, freeze a Wallet balance, suspend an account, and report activity to the Nigerian Financial Intelligence Unit, the Economic and Financial Crimes Commission, the Nigeria Police Force or any other competent authority, where we are required or permitted to do so by law.

17. Data Protection and Privacy

We process personal data in accordance with the Nigeria Data Protection Act, 2023 and our Privacy Policy. By using the Platform you acknowledge that we collect and process personal data as described in that policy, including for identity verification, order fulfilment, delivery, fraud prevention and regulatory compliance.

Where you receive the personal data of a Customer through the Platform, you must use it only to fulfil that Customer's Order and provide related customer service. You must keep it secure, must not sell or otherwise share it, and must comply with the Nigeria Data Protection Act, 2023 in your own right.

You may exercise your data protection rights, including access, correction, deletion and objection, by contacting hubber@hubber.com.ng. You may also complain to the Nigeria Data Protection Commission.

19. Content, Submissions and Intellectual Property

The Platform, its software, source code, design, text, graphics, logos, images, audio and their selection and arrangement are owned by or licensed to Hubber and are protected under the Copyright Act, 2022 and other applicable laws. “Hubber”, our logo and our other marks are our trade marks and may not be used without our written permission.

Suppliers grant Hubber and Resellers a non-exclusive, royalty-free licence to use, display and reproduce their Product images, descriptions and brand assets for the purpose of marketing and selling those Products through the Platform. Resellers may use those assets only for that purpose, and must stop using them if the Product is delisted or if we ask them to.

Where you post reviews, comments, questions, suggestions or other content (“Submissions”), you grant us a worldwide, non-exclusive, royalty-free, sub-licensable and transferable licence to use, reproduce, adapt, publish and display that content in connection with the Platform, together with the name you submitted it under. You confirm that you own the Submission or have the right to grant this licence. We may remove or edit Submissions at our discretion.

You must not use a false identity or misrepresent the origin of a Submission.

20. Objectionable and Infringing Content

We host a large number of listings, reviews and messages and cannot review all of them in advance. We operate on a notice-and-takedown basis.

If you believe content on the Platform is unlawful, infringes your intellectual property rights, or is otherwise objectionable, write to hubber@hubber.com.ng with your name, address and contact details, identification of the content and where it appears on the Platform, the basis of your complaint, and evidence supporting it. We will investigate and take appropriate action within a reasonable time. Incomplete complaints may not be actionable, and knowingly false or misleading complaints may attract liability.

We respect exclusive distribution and resale agreements between manufacturers and distributors, but a breach of such an agreement is not, by itself, an infringement of intellectual property rights, and is a matter between the parties to it.

21. Availability of the Platform

We aim to keep the Platform available and functioning, but we cannot guarantee uninterrupted or error-free access. Access may be suspended or restricted for maintenance, upgrades, security or the introduction of new features, and may be affected by network, power or third-party outages. We will limit the frequency and duration of planned interruptions where reasonably possible.

22. Disclaimers

Except as expressly stated in these Terms and subject to section 24, the Platform and all content, information, software, products and services are provided on an “as is” and “as available” basis.

We do not warrant the quality, suitability, accuracy, reliability, completeness, timeliness, safety, merchantability, fitness for a particular purpose or legality of Products listed by Suppliers, or of pricing and specification information supplied by them.

We are not a party to the contract of sale between a Supplier and a Customer, and we do not endorse any Supplier, Reseller or Product. We are not responsible for the acts or omissions of Suppliers, Resellers, Customers, Logistics Partners, payment providers or other third parties, and we are not obliged to mediate disputes between them, although we may choose to do so.

23. Limitation of Liability

Subject to section 24, we will not be liable to you for loss of profit, loss of revenue, loss of anticipated savings, loss of business or contracts, loss of goodwill, loss of data, wasted expenditure, or any indirect or consequential loss, however arising.

Subject to section 24, our total aggregate liability to you in connection with the Platform, whether in contract, tort (including negligence), statute or otherwise, arising in any twelve-month period, is limited to the greater of: (a) the total fees and commission we earned from your activity on the Platform in that period; and (b) ₦100,000.

24. Liability We Do Not Exclude

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited, including rights conferred on consumers by the Federal Competition and Consumer Protection Act, 2018.

25. Indemnity

You agree to indemnify and hold harmless Hubber, its affiliates and their respective directors, officers, employees and agents against any claim, demand, loss, liability, penalty or reasonable cost (including legal fees) arising from or in connection with your breach of these Terms or of any policy incorporated into them, your violation of any law or of the rights of a third party, any Product you list or sell, or any representation you make to a Customer.

26. Suspension and Termination

You may stop using the Platform and close your account at any time, subject to completing any Orders in progress and settling any amount you owe.

We may suspend, restrict or terminate your account or your access to the Platform — with notice where reasonably practicable, and immediately where necessary — if you breach these Terms, if we suspect fraud or unlawful activity, if verification fails, if required by law or a regulator, or if we cease to offer the Platform.

On termination you must stop using the Platform. Termination does not affect rights and obligations accrued before it, including payment obligations, and the sections concerning payment, indemnity, liability, intellectual property, data protection and dispute resolution survive.

Where your account is closed, we will pay out any undisputed Wallet balance to your verified bank account, less any amount you owe us, subject to completion of any investigation and to our legal and regulatory obligations.

27. Force Majeure

We are not liable for any delay or failure to perform our obligations caused by events beyond our reasonable control, including power failure, network or telecommunications failure, failure of a payment or settlement system, fuel scarcity, industrial action, civil unrest, insurrection, act of government or regulator, epidemic, flood, fire or other natural event. This does not affect your statutory rights.

28. Complaints and Dispute Resolution

If you have a complaint, contact us first through the support channels in the Platform or at hubber@hubber.com.ng, with your Order number and supporting evidence. We aim to acknowledge complaints promptly and to resolve them within a reasonable time.

If a dispute is not resolved within 30 days of being raised with us, either party may refer it to arbitration under the Arbitration and Mediation Act, 2023, before a sole arbitrator agreed between the parties or, failing agreement within 14 days, appointed by the Lagos Court of Arbitration. The seat of arbitration is Lagos, Nigeria, the language is English, and the award is final and binding. Each party bears its own costs, and the parties share the arbitrator's fees equally unless the award provides otherwise.

Nothing in this section prevents you from bringing a claim in a Small Claims Court that has jurisdiction, from complaining to the Federal Competition and Consumer Protection Commission or the Nigeria Data Protection Commission, or from seeking urgent injunctive relief from a court.

29. Governing Law

These Terms, and any dispute or claim arising out of or in connection with them, are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

30. General

Entire agreement. These Terms, together with the Privacy Policy and the Return & Refund Policy, form the entire agreement between you and us in relation to the Platform.

Severability. If any provision is held invalid or unenforceable, it will be severed and the remaining provisions continue in full force.

Waiver. If we do not enforce a right or provision, that is not a waiver of it, and does not prevent us from enforcing it later or in another case.

Assignment. You may not assign or transfer your rights under these Terms without our written consent. We may assign or transfer ours to an affiliate, or in connection with a merger, acquisition or sale of assets.

No partnership. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship between you and Hubber. Resellers and Suppliers are independent, and are not employees or agents of Hubber.

Electronic records. You agree that we may communicate with you electronically, and that electronic records and signatures relating to your use of the Platform are admissible and have effect in accordance with the Evidence Act, 2011.

Language. These Terms are written in English, which governs their interpretation.
